About this Course
This is an introductory level into the practical application of company law. Participants will be taught via problem-based approaches that focus on the various important and relevant rules of business law minus the legal jargon.
By the end of the program, participants will be equipped with sufficient knowledge of business law regarding the formation of companies; legal documents required; roles and responsibilities of company officers; the various sources of company finances and how they are used and distributed - ultimately up to the procedure for the closure of a company.
Participants will also have a strategic understanding on the workings of a company from a legal perspective and be able to effectively put that knowledge to use within the administrative environment of their companies.
Objectives
Upon completion of this workshop, participants will be able to;
- Familiarise with the legal procedures involved in the formation of a company – the pre-incorporation stage; the concept of the corporate veil, separate legal personality and limited liability
- Know the Constitutional documents of a company and what they contain; why they are important and how to amend them to properly adapt to business environmental changes
- Knowing the roles and responsibilities of company officer – Director, Secretary and Auditors
- Understanding company finances – Shares, Debentures, Charges, Debt Capital, Trade Capital and how they are managed and distributed
- Understanding the procedure for the closure of a company and what happens after – the roles and responsibilities of the Judicial Manager, Receiver and Liquidator
